Terms of Service

1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you, whether personally or on behalf of an entity ("you," "User," or "Customer"), and LiaisonIQ by NexReach ("Company," "we," "us," or "our"), a product of NexReach, LLC, concerning your access to and use of the LiaisonIQ Physician PRM platform and services.
By accessing or using the Service, you confirm that you have read, understood, and agreed to be bound by these Terms. If you do not agree, you are expressly prohibited from using the Service and must discontinue use immediately.
2. Service Overview & Eligibility
liaisonIQ is a Physician Relationship Management (PRM) platform designed for healthcare outreach, territory mapping, and referral intelligence. You must be at least 18 years old and a healthcare professional or authorized representative of a healthcare organization to use the Service.
3. Workspaces & Licensing
liaisonIQ is provided through a Workspace model. All content, data, and members are associated with a specific Workspace.
- Workspace Ownership: The entity or individual that creates the Workspace is the "Workspace Owner." The Owner has full administrative control over data, team membership, and billing.
- Location Sites: A Workspace may contain multiple "Location Sites." Licensing fees may scale based on the number of active Sites or Team Members within a Workspace.
- Individual (Solo) Plans: Billed via In-App Purchase (IAP) on the individual user's account. Solo users are both the Owner and the sole Member of their Workspace.
- Enterprise (Team) Plans: Billed via web checkout (Stripe). Billing is centralized at the Workspace Owner level — the Owner's subscription covers the workspace and all member seats. Team members do not need a separate subscription; their access is granted and managed by the Workspace Owner.
4. Subscriptions & Billing
Services are provided on a subscription basis (monthly or annual). Subscriptions auto-renew unless cancelled at least 24 hours prior to the end of the current period.
- IAP Subscriptions: Managed through the Apple App Store or Google Play Store for solo and individual plans. Cancellation and refunds are governed by the respective store policies.
- Web Subscriptions: Managed via our Stripe-powered billing portal for Team Workspace Owners. The Owner is responsible for maintaining a valid payment method. The Owner's subscription covers all member seats in the workspace.
- Free Trials: We offer a 15-day free trial for new accounts. If a trial is not converted to a paid subscription, access to Workspace data may be restricted until a license is purchased.
4a. Refund Policy
We do not offer refunds for partial billing periods. If you cancel, you retain access until the end of your current billing cycle.
- App Store purchases: Refunds are governed by Apple's refund policy.
- Google Play purchases: Refunds are governed by Google's refund policy.
- Stripe-billed subscriptions: Contact us at support@liaisoniq.app within 7 days of a charge if you believe you were billed in error.
5. Prohibited Conduct & Compliance
You agree to use the Service only for lawful professional purposes. Specifically, you represent and warrant that your use of liaisonIQ will comply with all applicable healthcare laws and regulations, including but not limited to:
- The Federal Anti-Kickback Statute.
- The Physician Self-Referral Law (Stark Law).
- Applicable state and federal privacy laws (HIPAA).
Prohibited Actions: You may not use the Service to scrape data, reverse engineer the Platform, share credentials with unauthorized users, or enter Protected Health Information (PHI) into unauthorized fields.
6. AI Features Disclaimer
liaisonIQ utilizes artificial intelligence to provide coaching, visit preparation, route planning, and data insights. You acknowledge and agree that:
- AI-generated content is advisory only and may be incomplete, inaccurate, or outdated. You must independently verify all AI suggestions before relying on them for any clinical, legal, compliance, or business decision.
- liaisonIQ supports multiple healthcare verticals (healthcare, pharma, dental, cardiology, ambulatory surgery centers). Compliance and regulatory requirements differ across verticals. AI output is not tailored to the specific regulatory framework of your vertical; consult qualified professionals in your field for all compliance, billing, and clinical determinations.
- AI output does not constitute medical, legal, regulatory, or compliance advice. AI-generated route plans, visit talking points, coaching scripts, and clinic recommendations are for informational assistance only.
- You must not use AI output as the sole basis for clinical care, legal or regulatory determinations, or compliance decisions. Qualified professionals and your organization remain solely responsible for all such decisions.
- The Company disclaims all liability for any decisions, actions, or outcomes based on AI-generated content.
6a. NPI Data Accuracy
liaisonIQ enables provider discovery and profile enrichment using the National Provider Identifier (NPI) Registry (NPPES), a publicly available database maintained by the Centers for Medicare & Medicaid Services (CMS). You acknowledge and agree that:
- NPI data sourced from NPPES is provided as-is. liaisonIQ does not independently verify, audit, or guarantee the accuracy, completeness, or currency of any NPPES data displayed in the Platform.
- Fuzzy matching algorithms are used when searching for NPI-1 (individual provider) records. Fuzzy searches may return approximate, partial, or inexact matches. The provider or clinic displayed may not correspond exactly to your search intent.
- You must independently verify all NPI data—including provider names, addresses, specialties, and identifiers—before relying on it for any business, clinical, compliance, billing, or legal purpose.
- liaisonIQ is not the authoritative source for NPI information. For definitive data, consult the NPPES Registry directly at nppes.cms.gov.
- liaisonIQ disclaims all liability for errors, omissions, or inaccuracies in NPI data, and for any decisions made based on NPI data displayed in the Platform.
6b. Map and Route Accuracy
liaisonIQ provides map display and AI-generated route plans to assist with visit planning. You acknowledge and agree that:
- Map display and geocoding are powered by third-party providers, including Google Maps API. liaisonIQ has no control over the accuracy, completeness, or timeliness of underlying map data, which may be outdated or inaccurate in certain regions.
- AI-generated route plans are advisory suggestions only. Routes may not represent the most efficient, optimal, or safest path and do not account for real-time traffic, road closures, local regulations, or other conditions.
- liaisonIQ is not a navigation tool and is not intended for turn-by-turn driving guidance. You must use a dedicated navigation application (such as Google Maps or Apple Maps) for actual driving and observe all applicable traffic laws.
- liaisonIQ disclaims all liability for any navigation decisions, vehicle incidents, delays, or losses arising from reliance on map data or route plans generated by the Platform.
7. Intellectual Property
Our Property: liaisonIQ owns all rights, title, and interest in the Platform, including software, design, algorithms, and branding.
Your Data: You retain ownership of all data you upload to the Workspace. You grant liaisonIQ a worldwide, non-exclusive license to host, process, and analyze your data solely for the purpose of providing and improving the Service to you.
8. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEXREACH SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF THESE TERMS SHALL NOT EXCEED THE TOTAL AMOUNT PAID BY YOU FOR THE SERVICE DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.
9. Indemnification
You agree to indemnify, defend, and hold harmless liaisonIQ and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or third-party rights; or (d) any content or data you submit to the Service.
10. Termination
We may suspend or terminate your account immediately, without prior notice or liability, for any violation of these Terms, fraudulent activity, or if we reasonably believe your use poses a risk to other users or to the Service.
You may delete your account at any time via Profile → Delete Account. Upon termination, your right to use the Service ceases immediately and we may delete your data in accordance with our data retention policy.
Sections 7, 8, 9, 12, and 13 survive termination of these Terms.
11. Governing Law
These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Subject to the arbitration agreement in Section 13, any legal action arising under these Terms shall be brought in the state or federal courts located in Delaware.
12. Dispute Resolution & Arbitration
PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT.
Informal Resolution: Before initiating formal dispute proceedings, you agree to first contact us at support@liaisoniq.app and attempt to resolve the dispute informally within 30 days.
Binding Arbitration: If informal resolution fails, both parties agree to resolve any claim (excluding claims for injunctive or equitable relief) through binding arbitration administered by JAMS under its Streamlined Arbitration Rules. Judgment on the award may be entered in any court of competent jurisdiction.
Arbitration Opt-Out: You may opt out within 30 days of creating your account by emailing support@liaisoniq.app with subject line "Arbitration Opt-Out."
Small Claims: Either party may bring an individual action in small claims court for disputes within that court's jurisdiction.
Exceptions: This arbitration agreement does not apply to disputes relating to intellectual property rights, data privacy violations, or situations requiring emergency injunctive relief.
13. Class Action Waiver
YOU AND NEXREACH AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE ACTION. The arbitrator may not consolidate more than one person's claims and may not preside over any form of a representative or class proceeding.
14. Force Majeure
liaisonIQ shall not be liable for any failure or delay in performance resulting from circumstances beyond our reasonable control, including natural disasters, acts of war or terrorism, government actions, internet or telecommunications failures, power outages, or third-party service provider failures. We will use reasonable efforts to resume performance as soon as practicable.
15. Service Modifications
liaisonIQ reserves the right to modify, suspend, or discontinue any feature or aspect of the Service at any time. For material changes that remove significant functionality, we will provide at least 30 days' advance notice where reasonably practicable. We are not liable for any modification, suspension, or discontinuation of the Service.
16. Geographic Availability
The Service is primarily designed for use in the United States and Canada. It may be available in other regions, but we make no representation that the Service complies with local laws or regulations outside the United States. You are responsible for ensuring your use of the Service complies with all applicable local laws.
